CHEN YANG’s practice focuses on regulatory, corporate and commercial law for the life sciences industry.  

Chen has been representing international companies over the past 20 years on their investment projects and acquisition efforts in various Chinese industries, has dedicated her practice to corporate, transactional and regulatory matters for multinational life sciences companies since 2007. Chen also assisted the PRC government agencies with respect to U.S. litigations. 

Chen routinely represents international pharmaceutical, medical device, food and cosmetics companies in connection with market entrance, product localization, marketing and promotional activities, product recalls, clinical trials, FCPA/Anti-bribery and other industry-specific regulatory, compliance and enforcement issues, as well as joint ventures, merger and acquisitions, and licensing matters.

Examples of Chen’s significant experience include:  

Represented the Ministry of Commerce of the People’s Republic of China (MOFCOM) as amicus in the first ever U.S. antitrust suit against P.R.C. defendants, who are manufacturers/exporters of Vitamin C products; won dismissal of the complaint and revision of district court decision by the Second Circuit; 

Represented GlaxoSmithKline PLC in acquiring Nanjing MeiRui Pharmaceutical Co., Ltd., a Chinese pharmaceutical company. The transaction was the first in recent years in which a leading international pharmaceutical company acquired a local P.R.C.-based prescription drug manufacturer. This transaction was named in 2011 as “M&A Deal of the Year” by China Business Law Journal;

Represented several major multinational pharmaceutical and medical device companies in their acquisition efforts in China, with a particular focus on regulatory and compliance issues associated with the acquisition;
 
Advised multinational companies in pursuing product approvals, clinical studies, marketing, promotion and distribution, market access, pricing and reimbursements in China, with a wide range of products, including human prescription drugs, OTC drugs, vaccines and biological products, medical devices, food and dietary supplements, animal health products, etc;

Represented multinational pharmaceutical and medical device companies in exploring joint ventures and strategic collaborations in China, including licensing, co-promotion and co-marketing transactions; 

Advised multinational pharmaceutical and device companies in dealing with enforcement actions initiated by different regulatory agencies in China.

Chen was given the Life Sciences “All-Star” award by The Asian Lawyer, and the highest ranking in the “China/Hong Kong: Corporate/Commercial” category in PLC’s Which Lawyer survey of leading Life Science lawyers worldwide. She has also been named as a leading lawyer for Mergers and Acquisitions work in China by IFLR 1000, as well as for Life Sciences work in China/Hong Kong by Chambers Asia-Pacific. As quoted in IFLR 1000, “her work is impeccable in terms of quality and on target with what we want.” She has also been listed by Who’s Who Legal as a leading business lawyer for life sciences. In the 2016 Chambers Asia-Pacific rankings, Chen is ranked Band 1 for China Life Sciences (International Firms) and “Notable Practitioner” for Asia Pacific Life Sciences category. In the newly released Chambers Asia-Pacific 2018, Chen is again ranked Band 1 in the China Life Sciences chapter.

Prior to entering private practice, Chen worked as a legislative official in the Bureau of Legislative Affairs of the State Council, one of China's main legislation drafting bodies, as well as in the anti-corruption bureau of a local procuratorate in Beijing.

Chen received her LL.B. degree in 1991 from Peking University, a top Chinese university, with the honor of “Best Graduate of the Year.” She received an LL.M. from the University of Georgia in 1997 and is admitted to the New York Bar. Chen frequently speaks at national and international industry conferences and seminars. 

She is a native Chinese speaker and is fluent in English.
